1. Introduction

This Subscription, Billing, and Cancellation Policy (“Policy”) forms an integral part of the Terms of Service for the Momentum mobile application, the websites momentum-pt.app and momentum-pt.co.uk, and all associated services (collectively, the “Platform”). The Platform is operated by AMNOVA LIMITED (“Company”, “we”, “us”, or “our”), registered in England and Wales under company number 16394638, with its registered office at Unit A, 82 James Carter Rd, Mildenhall, Bury Saint Edmunds IP28 7DE.

By purchasing a subscription, a “Bolt-on” feature, or otherwise engaging in financial transactions on the Platform, you agree to the terms outlined in this Policy.

2. Subscription Plans and Billing Cycles

  • Momentum offers various subscription tiers for Personal Trainers (“PTs”) and their clients, including standard monthly or annual plans, white-label “Bolt-on” subscriptions, and premium “Studio” plans.

    • Auto-Renewal: All subscriptions automatically renew at the end of their respective billing cycles (e.g., monthly or annually) unless explicitly cancelled by you prior to the renewal date.

    • Billing Date: You will be billed on the same date each month or year, corresponding to the commencement date of your paid subscription. If your billing date falls on a day that does not occur in a given month (e.g., the 31st), you will be billed either the last day of the month, or as close to the first of the following month as possible.

3. Payment Terms and Processing

  • Authorisation: By providing a payment method, you expressly authorise AMNOVA LIMITED and our designated third-party payment processors (including Stripe, PayPal, Apple, and Google) to charge the applicable subscription fees, taxes, and any other associated charges to your selected payment method.

  • Failed Payments: If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, we will suspend your access to the Platform and any associated premium features until a valid payment method is successfully charged. You remain responsible for any uncollected amounts.

  • Account Sharing Prevention: Subscription tiers are assigned per individual PT. Sharing account credentials to bypass tier limits is strictly prohibited and will result in immediate account termination without refund.

4. The Studio Plan (12-Month Minimum Term)

Our premium “Studio” plans require significant upfront resource allocation for custom deployment and white-label brandability.

  • Mandatory Commitment: All Studio tier subscriptions are subject to a strict, inescapable minimum commitment period of twelve (12) months from the date of activation.

  • No Early Termination: Early termination of a Studio plan is not permitted. If you cease using the Platform before the 12-month period concludes, you remain legally and financially liable for the full balance of the 12-month term.

  • Balance Collection: In the event of an attempted early cancellation or payment default on a Studio plan, we reserve the right to immediately charge the remaining balance of the 12-month contract to your payment method on file, or pursue the outstanding debt through legal or collection channels.

5. Cancellation Policy

You may cancel your subscription at any time, subject to the conditions of your specific plan.

  • Standard Plans and Bolt-ons: To avoid being charged for the next billing cycle, you must cancel your subscription before the renewal date. Cancellations can be managed directly within your account settings on the Platform.

  • Studio Plans: Cancellation requests for Studio plans will only take effect at the end of the mandatory 12-month minimum term. You must provide notice of cancellation prior to the renewal date of the second year to prevent the subscription from rolling over.

  • Post-Cancellation Access: Upon successful cancellation, you will retain access to your subscription features until the end of your current, paid-up billing period.

6. Strict Non-Refundable Policy

To the maximum extent permitted by the laws of England and Wales, all fees and charges paid to AMNOVA LIMITED are strictly non-refundable.

  • No Pro-Rated Refunds: We do not provide refunds or credits for any partial-month subscription periods, unused time, or un-accessed features.

  • Annual Upfront Payments: If you choose to pay for a year in advance for a discount, this payment is entirely non-refundable, even if you decide to close your account mid-year.

  • Bolt-on Features: Additional purchases, such as Bolt-on subscriptions or one-off template purchases, are final and non-refundable upon activation.

7. Third-Party Costs and External Fees

Your use of Momentum’s white-label and custom application features will necessitate relationships with third-party vendors.

  • Separate Obligations: Fees charged by external entities—expressly including the Apple Developer Program annual fees, Google Play Console registration fees, and any payment gateway processing fees (e.g., Stripe transaction percentages)—are strictly independent of your Momentum subscription.

  • No Refunds for Third-Party Action: AMNOVA LIMITED has no control over these third parties. We are not liable for, nor will we refund Momentum subscription fees due to, an app rejection by Apple or Google, changes in their pricing structures, or account suspensions initiated by these external services.

8. Price Changes

We reserve the right to adjust pricing for our subscriptions, Bolt-ons, or any other components of the Platform at any time. Any price changes will be communicated to you with a minimum of thirty (30) days’ notice via the email address associated with your account or through an in-app notification. Price changes will take effect at the start of the next subscription period following the date of the price change. Continued use of the Platform signifies your acceptance of the new pricing.
